Association

Establishment of an Association in LithuaniaAn association is a public legal entity with limited civil liability and its own name, established to coordinate the activities of its members, represent their interests, protect them, or fulfill other public interests. In the Republic of Lithuania, associations must be registered in accordance with legal requirements.

Founders of an association may be natural persons who are legally capable and at least 18 years old, and/or legal entities that have signed the association’s founding agreement. The minimum number of founders is three. The founding agreement must be signed by all founders. From the moment of registration in the Register of Legal Entities of the Republic of Lithuania, all founders become members of the association.

Mandatory founding documents and other information for the association:

The founding agreement must include:

  1. Details of the founders (first and last names, personal identification codes, and addresses for individuals; names, legal addresses, and codes for legal entities; names and identification codes of representatives);
  2. The name of the association being established;
  3. The date of the agreement.

It may also specify:

  1. Financial and non-financial obligations of the founders, terms and execution procedures;
  2. Procedures for reimbursing founding costs;
  3. Procedures for resolving disputes among the founders;
  4. Persons authorized to represent the association, along with their rights and powers;
  5. Procedures for convening the founding meeting and adopting decisions;
  6. Other provisions not contrary to the law.

The association must be registered in the Register of Legal Entities according to the procedure established by law in Lithuania. The association is considered established from the moment of its registration.

An association may be registered if:

  • a founding agreement has been concluded,
  • a founding meeting has been convened,
  • the association’s bylaws have been adopted,
  • at least one governing body has been formed,
  • and other obligations stated in the founding agreement have been fulfilled.
