Definition and Functions

A branch of a legal entity is a structural unit with its own registered office (in Lithuania), performing all or part of the functions of the legal entity. A branch is not a separate legal entity. It operates based on the statutes approved by the legal entity.

Establishing a Branch or Representative Office in Lithuania

A representative office of a legal entity is also a structural unit with its own registered office, authorized to carry out certain actions: to represent and defend the interests of the legal entity, to conclude transactions and perform other legal actions on behalf of the legal entity, and to engage in export and import operations — but only between foreign legal entities or other organizations that have established the representative office (in the Republic of Lithuania), or with companies, institutions, or organizations related to the representative office. A representative office is not a separate legal entity. It operates according to the statutes approved by the legal entity.

Timeframe:

Establishing a branch or representative office takes 6–7 working days (in Lithuania).

Costs:

  1. Our services (as agreed);
  2. EUR 174 – notary fee (may vary depending on the scope of services);
  3. EUR 29 – Registry Centre fee (if the founder is a foreign legal entity, the fee is 200 LTL);
  4. EUR 17 – temporary reservation of the branch/representative office name in the Registry Centre (EUR 29 if we do the reservation);
  5. Document translation costs.

Required documents and information:

  1. Certificate of incorporation of the founder, and the company’s articles of association;
  2. Founder’s details (company name, registration code, registered address, names, personal codes, and declared residential addresses of the director and/or board members representing the company);
  3. Branch/representative office director’s details (name, personal code, residential address);
  4. Name of the branch/representative office;
  5. Exact address of the branch/representative office in the Republic of Lithuania.

Consent from the premises owner to register the office of the branch/representative office:

– if the owner is a natural person – notarized written consent is required;
– if the owner is a legal entity – consent signed by the director and sealed;
– if the premises are mortgaged – consent from the bank holding the mortgage is required.

  1. Information about the type of business and commercial activity that the branch/representative office will carry out.

If the founder is a foreign legal entity:

  1. An extract from the foreign company register confirming the founder’s registration;
  2. The founder’s annual financial statement;
  3. Submitted documents must be notarized and bear an Apostille certification.

Founder’s actions:

Attend a notary appointment to sign the documents for establishing the branch/representative office.
These actions may also be carried out under a power of attorney.
